Ortium Terms and Conditions
1. Acceptable Use Policy
By logging into your Ortium account, you agree to be bound by our Acceptable Use Terms.
1. Introduction1.1 These Acceptable Use Terms (“Terms”) apply between you, the User of this website www.ortium.ai (“Website”) and Ortium’s applications (“Apps”) through which Ortium’s Sales Research, AI Agents, and Microsite Builder tools (together the “Ortium Services”) are provided, and R.G.Ventures B.V., a company incorporated in the Netherlands with registered number 90313542 and with its registered address at Eemnesserweg 240, 1223GJ Hilversum, The Netherlands (“Ortium” or “we”).1.2 Your agreement to comply with these Terms is deemed to occur upon your first use of the Website and/or Apps.1.3 In these Terms, “User” or “Users” means anyone that accesses the Website or Apps, and “you” shall be construed accordingly.
2. Intellectual Property and Acceptable Use2.1 All Ortium Content is the property of Ortium. "Ortium Content" means any text, graphics, AI models, algorithms, software, data compilations, page layout, and underlying code.2.2 User Generated Microsites: You retain ownership of the specific content and data you upload to create Sales Microsites. However, you grant Ortium a license to host, display, and distribute these Microsites solely for the purpose of providing the Service to you and your prospects.2.3 You must not reproduce, modify, copy, distribute, or use for commercial purposes any Ortium Content without express written permission, except for the specific purpose of generating and sharing Sales Microsites with your prospects as intended by the platform.
3. Prohibited UseYou will not:a) Reverse engineer, decompile, or disassemble the Ortium Services, including our AI Agents and research algorithms;b) Use the Ortium Services to generate Microsites that contain phishing, spam, fraud, or malicious content;c) Use the research agents to scrape data in violation of third-party websites' Terms of Service in a manner that causes legal liability to Ortium;d) Attempt to circumvent API limits or Seat limits;e) Use the Services to harass, bully, or unlawfully discriminate against prospects via the generated Microsites;f) Upload or transmit viruses, malware, or harmful software via the Microsites;g) Impersonate any person or entity or misrepresent your relationship with any person or entity in your Microsites;h) Develop or use the Ortium API to build a competing product or service.
2. Terms and Conditions (Customer Agreement)
1. Definitions
"Ortium Services" means the sales research automation, AI agents, marketing analysis tools, and microsite builder services made available via the Ortium Applications.
"Customer Data" means all data, information, and material that You input or upload to the Ortium Services (including prospect lists) or that is generated by the AI Agents based on your inputs.
"Microsite" means a personalized web page generated by the User using Ortium Services intended for a specific prospect.
"Plan" means the subscription plan (e.g., Trial, Agency, Enterprise) chosen by You.
"Seats" means the number of users authorized to access the account.
2. Provision of Ortium Services2.1 Subject to this Agreement and payment of Fees, Ortium agrees to provide the Services in accordance with your Plan.2.2 AI Disclaimer: You acknowledge that the Ortium Services utilize Artificial Intelligence. AI can occasionally produce incorrect or misleading information ("hallucinations"). You agree to review the outputs of the Research Agents and the content of Microsites before sending them to prospects. Ortium is not liable for inaccuracies in the AI-generated research.
3. Grant of License3.1 Ortium grants you a limited, non-exclusive, revocable license to:a) Access and use the Ortium Services for your internal business purposes;b) Create, publish, and share Sales Microsites with your prospects.3.2 You grant Ortium a license to use your Customer Data to provide the Services, including improving our AI models (in an anonymized and aggregated format).
4. Microsite Liability4.1 You acknowledge that you are fully responsible for the content, accuracy, and legality of the Microsites you create and share.4.2 Ortium is a technology provider, not a publisher. We do not monitor the content of your Microsites but reserve the right to take them down if they violate our Acceptable Use Policy.4.3 You agree to include a link to your own Privacy Policy on any Microsite that collects data from your prospects.
5. Fees and Payment5.1 Fees are payable in advance (monthly or annually).5.2 All Fees are non-refundable, except where expressly stated otherwise.5.3 If you exceed your Plan limits (e.g., number of Microsites published or Agents run), you may be charged overage fees or required to upgrade.
6. Limitation of Liability6.1 Nothing in these Terms limits or excludes either party’s liability for:a) Damages caused by intent or deliberate recklessness (opzet of bewuste roekeloosheid) of that party’s management;b) Fraud or fraudulent misrepresentation; orc) Any other liability that cannot be excluded or limited under applicable Dutch law.6.2 Subject to Clause 6.1, Ortium will not be liable to you for any:a) Loss of profit, revenue, business, or missed savings (gederfde winst of gemiste besparingen);b) Loss or corruption of data;c) Indirect, incidental, or consequential loss or damage.6.3 Ortium’s total aggregate liability arising out of or relating to this Agreement (whether in contract, tort, or otherwise) shall be limited to the total amount of Fees actually paid by You in the 3 (3) months preceding the event giving rise to the claim.
7. Data Protection 7.1 Both parties agree to comply with applicable Data Protection Legislation (including GDPR and, where applicable, POPIA).7.2 Where Ortium processes personal data on your behalf (e.g., prospect data), Ortium acts as a Processor and you act as the Controller.
8. Governing Law and Jurisdiction8.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Netherlands.8.2 The competent court in Amsterdam, the Netherlands, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, although Ortium retains the right to bring proceedings against you in your country of residence or any other relevant country.8.3 The applicability of the Vienna Sales Convention (CISG) is explicitly excluded.
3. Privacy Policy
1. IntroductionThis Privacy Policy explains how Ortium collects and processes data.
2. Data We CollectAccount Data: Name, email, password, payment details.
Usage Data: How you use the platform, which agents you run, and microsite performance metrics.
Public Data: Our Research Agents access publicly available data (e.g., LinkedIn public profiles, Google Ads, website meta data) to generate reports. We process this data based on legitimate business interest to provide the Service.
3. Integration with Third PartiesIf you connect Ortium to third-party services (e.g., Gmail, HubSpot, Salesforce), we will access data from those services solely to provide the integration features (such as logging Microsite activity to your CRM).
4. AI and Data UsageWe do not use your confidential Customer Data (such as private prospect notes) to train our public AI models. We may use anonymized, aggregated data to improve system performance.
4. Cookie Policy
Ortium uses cookies to secure and monitor its platform.
Types of Cookies We Use:
Strictly Necessary: Required for login and security (e.g., ortium-session).
Analytical: To see how users move around our website (e.g., Google Analytics, Mixpanel).
